Hideez End User License Agreement

IMPORTANT, READ CAREFULLY: THIS END USER LICENSE AGREEMENT ("EULA") IS A LEGALLY BINDING AGREEMENT BETWEEN YOU, THE LEGAL ENTITY (HEREINAFTER "End User" or "You"), AND Hideez Group Inc. ("Hideez," "Us," or "We").

THIS EULA GOVERNS YOUR USE OF THE HIDEEZ SOFTWARE PRODUCTS (ANY KIND OF HIDEEZ OWNED SOFTWARE (SERVER SOFTWARE (REFERRING TO ALL POSSIBLE VERSIONS, INCLUDING MULTI-TENANT CLOUD, PRIVATE CLOUD, AND ON-PREMISE DEPLOYMENTS, HEREINAFTER "Hideez Server"), THE HIDEEZ CLIENT SOFTWARE, AND THE HIDEEZ AUTHENTICATOR MOBILE APPLICATION, etc.) ACCOMPANYING DOCUMENTATION AND UPDATES (HEREINAFTER SOFTWARE) AND HARDWARE DEVICES ("HARDWARE KEYS" AND OTHER DEVICES (HEREINAFTER HARDWARE)) WHEN USED IN CONJUNCTION WITH THE SOFTWARE PRODUCTS. 

YOUR RIGHT TO USE THE SOFTWARE AND HARDWARE IS GOVERNED BY THIS EULA AND ANY SALES AGREEMENT EXECUTED BETWEEN YOU AND HIDEEZ OR A HIDEEZ-AUTHORIZED RESELLER/PARTNER (COLLECTIVELY, THE "GOVERNING AGREEMENTS").

BY CLICKING THE “I AGREE” BUTTON/BOX, REGISTERING AN ACCOUNT, OR DOWNLOADING, INSTALLING, ACCESSING, OR OTHERWISE USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT CLICK THE “I AGREE” BUTTON/BOX, DO NOT REGISTER AN ACCOUNT, AND DO NOT USE THE SOFTWARE OR HARDWARE.

1. Grant of License

Hideez grants You a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install, access, and use the Software, and to use the Hardware, solely for Your internal business purposes, as authorized by the Governing Agreements. This license is for the term specified in the Governing Agreements or until terminated as set forth in this EULA.

1.1. Hideez Server License:
The Hideez Server software is licensed to You for installation and use of one (1) instance on a single server environment or two (2) instances for High Availability environment, while one of them is Active and the second one is StandBy, or cloud instance. Use is solely for identity and access management for Your authorized End Users and devices. Your license is subject to the specific capacity limitations outlined in the Governing Agreements (e.g., number of managed End Users and devices as specified in your contract or invoice).

1.2. Hideez Client & Authenticator License:
You may install and permit Your authorized End Users to install and use the Hideez Client software on workstations, and the Hideez Authenticator mobile application on compatible mobile devices, owned or controlled by You or Your End Users. These software components are licensed solely to interact with and utilize the identity and access management functionalities provided by the Hideez Server. 

Each of Your End Users or Devices utilizing the functionalities of the Hideez Server (via the Hideez Client, Hideez Authenticator, or otherwise) must be appropriately licensed as per the Governing Agreements.

1.3. Hideez HARDWARE:
Your use of Hideez HARDWARE is permitted solely in conjunction with the licensed Software to facilitate secure authentication and access management services provided by Hideez. Any warranty for Hideez HARDWARE is provided under a separate Hardware Warranty Policy.  

1.4. Documentation & Updates:
You may use accompanying documentation for internal reference. Any updates, upgrades, or new versions of the Software provided by Hideez shall be governed by this EULA, unless separate terms are provided. Hideez is not obligated to provide any Updates. The Software may automatically download and install Updates, to which You consent by accepting this EULA.

2. Restrictions on Use

You acknowledge that the Software is licensed, not sold, and all rights, title, and interest, including all intellectual property rights, belong to Hideez or its licensors. You shall not, and shall ensure Your authorized End Users do not, directly or indirectly:

  • Use the Software or Hardware Keys beyond the scope of the license granted in Section 1 or the capacity limitations specified in the Governing Agreements.

  • Copy, reproduce, publish, distribute, rent, lease, lend, sell, sublicense, assign, transfer, or make available the Software or any part thereof (including object and source code) to any third party for any reason, including commercial hosting, outsourcing, or service bureau services, without Hideez’s express prior written consent.

  • Alter, adapt, translate, modify, decompile, disassemble, reverse engineer, create derivative works from, or attempt to derive the source code of the Software. You have no rights to access the Software in source-code form.

  • Remove, delete, alter, or obscure any trademarks, logos, copyright, patent, or other intellectual property or proprietary rights notices from the Software without Hideez’s express prior written consent or its documentation.

  • Attempt to circumvent, bypass, or defeat any technical protection measures, licensing mechanisms, or security features of the Software or the Hardware Keys.

  • Use the Software, Hardware Keys, or its documentation for competitive analysis, development of a competing product/service, or any other purpose to Hideez’s commercial disadvantage.

  • Use the Software or Hardware in any manner that: (a) violates any applicable local, national, or international law; (b) is unlawful, harmful, or objectionable; (c) infringes upon the intellectual property rights or other rights of any third party; or (d) introduces viruses or other harmful computer programming routines.

  • Interfere with or disrupt the integrity or performance of the Software or any data therein.

3. Intellectual Property, Data Privacy & Confidentiality

3.1. Ownership:
All rights, title, and interest in and to the Software and Hardware (excluding any third-party components) and all worldwide intellectual property rights related thereto, are owned by Hideez or its licensors. Your use of the Software or Hardware does not transfer any ownership rights to You, except for the limited, revocable license granted herein for the Software and permission to use the Hardware. Any Feedback (suggestions, improvements) You provide grants Hideez a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, non-exclusive, sublicensable, and transferable license to use and exploit such Feedback for any purpose.

3.2. CONSENT TO USE LOCATION-BASED SERVICES AND DATA
The Software may contain or use location-based services. If You enable, use or access such location-based services in connection with the Software, You hereby consent to the collection, transmission and use of Your location data by the Software. Information about the Software’s collection and use of location data will be specified in the Software’s About section; such use may include verifying or otherwise recording your location for the purposes specified in the Data Collection and Privacy section below. If the Software provides real-time location or route guidance, YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF SUCH REAL TIME LOCATION DATA OR ROUTE GUIDANCE. LOCATION DATA MAY NOT BE ACCURATE.

3.3. Data Collection and Privacy:
Your use of the Software is subject to Hideez’s Privacy Policy, and Cookies & Tracking Technologies Policy, both of which are incorporated into this EULA by reference. You agree to their terms by accepting this EULA. You act as the Data Controller for data You process using the Software. Hideez acts as a Data Processor for personal data processed in connection with the Software, processing data according to Your instructions and taking appropriate technical and organizational measures to keep it secure.  The Software may collect information about or from Your use of the Software, including information You provide directly or through automated way. You agree that Hideez may collect and use non-personally identifiable technical information and usage data to improve products and services.

3.4. Confidentiality:
Each party acknowledges access to the other party's Confidential Information (including the Software, business affairs, customer data). Each party shall not disclose or use the other party's Confidential Information for any purpose besides this EULA, except as required by law or to perform obligations. This obligation does not apply to information that is publicly available without fault, was rightfully known prior to disclosure, or is independently developed.

4. Support, Maintenance & Termination

4.1. Support & Maintenance:
Support and maintenance services for the Hideez solution are provided by the Licensor (which may be Hideez directly or a Hideez-authorized partner/reseller) to You, as described in the Governing Agreements. If the Licensor is a third-party partner/reseller, Hideez's obligation for Support Services (if any) extends only to that Licensor. However, if Hideez is the direct Licensor, Hideez will provide support to You as outlined in the Governing Agreements. For questions or issues, You should primarily address your designated support contact as specified in the Governing Agreements.

For Hideez Server deployed as a cloud instance, the Licensor or Hideez will use commercially reasonable efforts for availability, but access may be interrupted for maintenance. For Hideez Server deployed on-premise, You are responsible for system maintenance and uptime, and Hideez is not responsible for damage or loss caused by unavailability of such instances.

4.2. Termination:
This EULA remains in effect until terminated:

  • By Hideez: Hideez may terminate this EULA immediately without prior notice if:
    (a) You fail to comply with any material term;
    (b) the Governing Agreements terminate or expire; or
    (c) Hideez discontinues the Software or Hardware or determines Your use poses a risk.

  • By End User: You may terminate this EULA at any time by ceasing all use of the Software and destroying all copies.

  • Effect of Termination: Upon termination, all rights and licenses granted to You will immediately cease. You must cease all use and destroy all copies of the Software and, if applicable, cease using the Hardware in connection with Hideez services. Hideez reserves the right to disable Your access. Sections 2, 3, 5, 6, 7, and any other provisions which by their nature should survive, shall survive termination.

5. Disclaimers and Limitations of Liability

5.1. DISCLAIMER OF WARRANTIES:
YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SOFTWARE IS AT YOUR SOLE RISK. THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HIDEEZ EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE, FOR THE SOFTWARE AND EXCEPT AS EXPRESSLY PROVIDED IN THE HARDWARE WARRANTY POLICY. HIDEEZ MAKES NO WARRANTY OR REPRESENTATION THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR BE ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED. HIDEEZ DOES NOT WARRANT OR ASSUME RESPONSIBILITY FOR ANY THIRD-PARTY PRODUCTS.

5.2. LIMITATION OF LIABILITY:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HIDEEZ, ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE OR HARDWARE KEYS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANY DAMAGES YOU MIGHT INCUR, THE ENTIRE AGGREGATE LIABILITY OF HIDEEZ UNDER THIS EULA SHALL BE LIMITED TO THE GREATER OF THE AMOUNTS ACTUALLY PAID BY YOU FOR THE SPECIFIC SOFTWARE AND RELATED SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS ARE A FUNDAMENTAL PART OF THIS AGREEMENT AND WILL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

6. Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS HIDEEZ, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES) ARISING OUT OF OR RELATING TO: (A) YOUR VIOLATION OF THIS EULA; (B) YOUR USE OF THE SOFTWARE OR HARDWARE KEYS IN VIOLATION OF APPLICABLE LAWS OR THIRD-PARTY RIGHTS; (C) YOUR NEGLIGENT OR WILLFUL MISCONDUCT IN CONNECTION WITH THE SOFTWARE OR HARDWARE KEYS; OR (D) ANY DATA YOU PROCESS USING THE SOFTWARE THAT INFRINGES THIRD-PARTY INTELLECTUAL PROPERTY OR OTHER RIGHTS.

7. Governing Law, Jurisdiction & Export Control

7.1. Governing Law & Jurisdiction:
This EULA and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the internal laws of the State of Delaware, U.S.A., without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding shall be instituted exclusively in the federal or state courts located in the State of Delaware, U.S.A., and each party irrevocably submits to the exclusive jurisdiction of such courts.

7.2. Export Control:
The Software and Hardware Keys are subject to U.S. export control laws and regulations (e.g., EAR). You agree to comply with all applicable international and national export laws. You shall not, directly or indirectly, export, re-export, divert, transfer, or release the Software or Hardware Keys to any restricted or embargoed country, or to any person or entity on any U.S. governmental prohibited party list, or for any prohibited end-use, without prior authorization. By using the Software or Hardware Keys, you represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list.

8. Miscellaneous

This EULA, including any referenced policies, constitutes the entire agreement between You and Hideez concerning the Software and Hardware Keys. If any term of this EULA is held invalid, illegal, or unenforceable, such invalidity shall not affect any other term or its enforceability. No waiver by Hideez of any term shall be deemed a further or continuing waiver unless explicitly set forth in writing. You may not assign or transfer your rights or obligations under this EULA without Hideez’s prior written consent. Hideez may freely assign its rights and obligations. This EULA is for the sole benefit of the parties hereto.
